Arbitration Agreement, and the substantive laws of California govern these Terms—without regard to principles of conflicts of law, and regardless of your location.Prior to initiating the arbitration, the initiating party will give written notice to the other party of its claim, and the parties will have 60 days to negotiate and attempt to resolve the dispute, after which time unresolved claims may proceed to arbitration.The arbitration will be conducted in Los Angeles County, California before one arbitrator. The parties will share the costs of arbitration equally with respect to JAMS fees; provided that each party will be solely responsible for its own attorneys’ fees and costs.
Notwithstanding the foregoing, if you are an individual consumer, as defined by JAMS, then you will have the right to an in-person arbitration hearing in your hometown area, and we will be responsible for 100% costs and fees of the arbitration charged by JAMS (but each party will be solely responsible for its own attorneys’ fees and costs).The arbitration will be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration shall be subject to streamlined or expedited procedures. The arbitrator, and not any federal or state court, shall have exclusive authority to resolve any dispute arising out of or relating to the interpretation, applicability, arbitrability, enforceability, or formation of these Terms. To the extent that the arbitrator deems reasonable, the arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances. Arbitration proceedings will be conducted in English and in a manner that preserves confidentiality. The arbitrator’s decision will follow the plain meaning of the relevant documents and will be final and binding and may be entered thereafter by any court of competent jurisdiction. The arbitrator shall not be empowered to award punitive damages to any party.Notwithstanding any of the foregoing, nothing in these Terms will preclude us from seeking any injunctive relief or other provisional remedy in U.S. state or federal courts for protection of its intellectual property rights (including the rights of its licensors), and you agree to exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for such claims; and you waive any jurisdictional, venue, or inconvenient forum objections to such courts. - Disclaimers of Warranty. - Healthcare Providers Acting on Behalf of their Patients. If you are a healthcare provider accessing this Website in connection with obtaining a patient sample or ordering a test for a patient, you represent and warrant that (a) you are authorized in your jurisdiction to order the Test on behalf of your patient; (b) you have advised your patient of the benefits, risks, capabilities, and limitations of the test(s) and services; (c) you have obtained consent from your patient to share patient health and personal information with Medini Life Sciences as required
under applicable privacy laws; (d) you have confirmed that your patient has signed or will sign the applicable Informed Consent Form; and (e) you will notify Medini Life Sciences of any changes in patient information and consent status, including changes to consent to store samples. - Product Expiration Dates. Our Website discusses a variety of products we offer, which are governed by separate terms and conditions. Please note that these products are subject to expiration dates. For example, individual order genetic testing kits and COVID-19 testing kits expire six months from the date of the order. Refunds are not issued for expired kits.

We engage in research and development, which helps us improve our Services and build new Services and customized features or Services. For the genetic tests that we perform, you may elect to consent to research at the time the test is requested. If you consent to research, your personal information and remaining sample may be stored and processed for up to 20 years for the further purposes specified in the applicable Informed Consent Form and/or Test Requisition Form; and it may be retained in an anonymized form to support further research, development, and improvement of diagnostic methods and potential therapeutic developments.
In addition:
- For infectious disease testing, we may contribute viral genetic variants that we have observed in the course of providing services to the Centers for Disease Control.
- For genetic testing services, we may contribute de-identified human genetic variants that we have observed in the course of providing our Services to publicly available databases.
- For genetic testing services, we may use or disclose de-identified patient information for general research purposes. This may include research collaboration with third parties, such as universities, hospitals, or other laboratories, in which we utilize de-identified clinical cases at the individual level or in the aggregate; and we may present or publish such information. This may also include commercial collaborations with private companies for research purposes.
To the extent we have relied on your express consent to process de-identified or pseudonymized personal information in relation to the above, you may withdraw your consent to participate at any time by contacting us at info@medinilife.com. We will not include any such de-identified or pseudonymized personal information in future research commencing within 30 days of the receipt of your request. A withdrawal of consent will not affect the lawfulness of our processing or the processing of any third parties based on consent before your withdrawal. Any research involving your data that has already been performed or published prior to the receipt of your request will not be reversed, undone, or withdrawn.
We may also aggregate and/or anonymize personal information and analyze that data for testing quality control and validation, research, statistical, or any other purposes permitted by law. When we do so, we take reasonable measures to ensure that the information cannot be associated with an individual, and we will not attempt to reidentify the information, except for the purpose of determining whether our deidentification processes satisfy applicable legal requirements.
Further, we store provider personal information for as long as we need it to provide you our Services, to serve the purpose(s) for which your personal information was processed, or as necessary to comply with our legal obligations, resolve disputes, or enforce our agreements to the extent permitted by law. We may also use provider personal information to share marketing information about our Services. To do so, we may process your contact information or information about your interaction with our Services so that we can send you marketing communications; provide you with information about events, webinars, or other materials; deliver targeted marketing to you; and keep you updated about our Services. 3. DISCLOSURE OF PERSONAL INFORMATION
Medini Life Sciences may disclose the personal information described in Section 1 of this Policy as follows:
- Our service providers and vendors. We may disclose your personal information to our service providers or other vendors that process personal information on our behalf and help us provide our Websites and Services to you, including service providers who provide payment processing, information technology support, email hosting, marketing and analytics services, and other services for the operation of our business. “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household.
- “Sell,” “Sale,” or “Selling” means transferring an individual’s Personal Information to a Third Party for money or other valuable consideration.
- “Service Provider” means a service provider, contractor, or processor which collects, stores, or otherwise handles data for us and is bound by contractual obligations to use your Personal Information only as directed by us.
- “Share,” “Shared,” or “Sharing” means transferring an individual’s Personal Information to a Third Party for cross-context behavioral advertising or targeted advertising purposes, whether or not for money or other valuable consideration.
- “Third Party” means an entity that is not Medini Life Sciences or a Service Provider.

B. OVERVIEW OF PERSONAL INFORMATION PROCESSING
Collection of Personal Information. We collect, and we have collected in the past twelve months, the following categories of Personal Information from consumers:
- Identifiers, such as name, IP addresses, mobile advertising IDs, and other unique identifiers
- Contact details, such as phone number, postal address, email address
- Financial information, such as credit or debit card number, or other financial information
- Insurance Information, such as health insurance policy number or other health insurance information
- Characteristics of protected classification under state or federal law, such as race, color, ancestry, national origin, citizenship, religion or creed, marital status, medical condition, physical or mental disability, sex (including gender, gender identity, pronouns, gender expression, pregnancy or childbirth, and related medical conditions), sexual orientation, veteran or military status, and genetic information (including familial genetic information)
- Commercial information, such as products or services purchased, obtained, or considered, survey responses or other purchasing or consuming histories or tendencies
- Geolocation data, such as device location
- Internet or Other Network Information, such as browser type, domains, browsing history, search history, how long you spent on a page or feature of our Websites, information regarding your interactions with our websites or advertisements
- Audio/electronic recordings, such as recordings of customer service calls and video surveillance at our physical locations
- Inferences drawn from any of the information listed above to create a profile about you reflecting your preferences, characteristics, behavior, and attitudes
- Sensitive personal information, such as account log-in; financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an account; precise geolocation (IP address and/or GPS location, latitude & longitude); genetic data (including genetic tests and excluding COVID-19 tests); and personal information collected and analyzed concerning a consumer’s health
Children’s Personal Information. We generally do not knowingly collect or process Personal
Information of children under 13 years of age. If and when we do so, we comply with the Children’s Online Privacy Protection Act (“COPPA”). For more information, please see Section 6 of our Privacy Policy.
2. Sources of Personal Information
We collect the categories of Personal Information listed in Section B.1 directly from consumers, from a consumer’s health care provider, from cookies and other tracking technologies, from our Service Providers and Third Parties when they disclose Personal Information to us, and from public databases and social media.
3. Purposes for Collection, Processing, and Disclosure of Personal Information
We collect, process, and disclose the categories of Personal Information listed in Section B.1 (including Sensitive Personal Information), and have done so in the past twelve months, to:

We disclose, and in the past twelve months have disclosed, for a business purpose the categories of Personal Information listed in Section B.1 to:

5. Sale, Sharing, and Processing for Purposes of Targeted Advertising
We Sell, Share, and process for Targeted Advertising and in the past 12 months have Sold, Shared, and processed for Targeted Advertising Personal Information collected via cookies and other tracking technologies, such as IP addresses, web-behavior information, browser type, domains, page view, and other data about your engagement with the Websites or the Services, including healthcarerelated pages on our Websites.
We have Sold and Shared this information to third parties, such as advertising networks and data analytics providers that we allow to place certain types of cookies or other tracking technologies on our websites in order to advertise and promote our products and Services, including by contacting consumers with information about our Services, events, webinars, and other materials; analyze and better understand consumers’ needs, preferences, and interests; and conduct internal business analysis, research, and development. In some contexts, this may include disclosure of health-related inferences about you to third party providers of cookies and other tracking technologies such as if you visit a healthcare-related page on our Websites.
We do not have actual knowledge that we Sell or Share Personal Information of California consumers under 16 years of age. We do not otherwise “Sell” or “Share” other types of Personal Information we may collect about you, such as your name or email address.
You have the right to opt-out of Sales and Shares of your Personal Information and may do so by following the process listed in Section D “Your Rights and Choices” of this Supplemental Notice.
6. Retention
We retain Personal Information for the time reasonably necessary to provide the Services; serve the purpose(s) for which your Personal Information was collected or processed; to comply with our contractual or legal obligations, resolve disputes, or enforce our agreements to the extent permitted by law. Generally, we aim to retain Personal Information for a shorter period of time when such data is more sensitive, when its deletion will not result in significant business interruptions, and/or when there are no existing legal requirements for preserving data for a longer period of time. We extend the retention periods for information subject to a Legal Hold, for the duration of the Legal Hold. We further aim to implement record retention periods at the system level, with the goal of minimizing data risks. Different retention periods may apply to different categories of data.
C. DO NOT TRACK AND OPT-OUT PREFERENCE SIGNALS
We recognize opt-out preference signals that we are required to recognize for compliance with applicable law. Where required by the CCPA, we treat such opt-out preference signals as a valid request to opt-out of Sale and Sharing for the browser or device through which the signal is sent and any consumer profile we have associated with that browser or device, including pseudonymous profiles. Further, if we know the identity of the consumer from the opt-out preference signal, we will also treat the opt-out preference signal as a valid request to opt out of sale and sharing for such consumer. Consumers may use opt-out preference signals by downloading or otherwise activating them for use on supported browsers and setting them to send opt-out preference signals to websites they visit. However, our sites do not respond to “Do Not Track” signals sent by browsers, which are different from the opt-out preference signals described above.
D. YOUR RIGHTS AND CHOICES

Right to Data Portability.
